A U.S. district judge paused the merger between Paramount Global and Warner Bros. Discovery, a $110 billion deal that would've controlled an estimated 35% of the theatrical release window and merged Paramount+, HBO Max, CBS, CNN, and MTV under one roof. Twelve state attorneys general pulled the emergency brake, arguing the combination would gut competition in film distribution, cable licensing, and streaming.

Five years ago, mega-mergers like this were rubber-stamped. Last quarter, the FTC and DOJ issued joint warnings about digital market concentration. Now a judge is granting a 14-day pause while the states make their case. Paramount insists the deal is "lawful and pro-competitive." Sure it is.

The less obvious ripple hits founders directly. When giants can't consolidate, the acquisition conveyor belt slows down.
